End User License Agreement

1. Definitions

"Software" means the nreactive browser SDK, Node.js SDK, command-line interface, framework integrations, and any related libraries we make available. "Generated Output" means code patches, unit tests, pull request descriptions, issue summaries, and other artifacts produced by our AI pipeline. "Licensee" means the individual or entity that installs or uses the Software. "Service" has the meaning given in our Terms of Service.

2. License Grant

Subject to this Agreement and an active plan, nreactive grants Licensee a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software solely to integrate with the Service. The license is limited to the applications declared in Licensee's dashboard and the entitlement of the active plan.

3. Ownership of Generated Output

Licensee owns the Generated Output that Licensee merges into Licensee's repositories. nreactive claims no intellectual property rights over merged code, and does not retain a copyright interest in patches once they are merged. Pre-merge drafts and prompt/response pairs may be retained for service operation, abuse detection, and quality monitoring as described in our Privacy Policy. Licensee's source code is not used to train AI models. Aggregated, anonymized telemetry about Generated Output (acceptance rate, regression rate) may be used to improve the Service; Pro plans may opt out from the dashboard.

4. Restrictions

Licensee shall not, and shall not permit any third party to:

  • Resell, white-label, or sublicense the Software without a written agreement
  • Reverse-engineer, decompile, or attempt to derive the source of the hosted backend, prompts, or model weights
  • Use the Software or Generated Output to train, fine-tune, or evaluate a competing AI model or code-generation service
  • Scrape, mirror, or systematically extract data from the Service or its API beyond the rate limits of the active plan
  • Bypass authentication, API keys, billing controls, or per-application quotas
  • Distribute the Software outside the Licensee's organization in modified form
  • Use the Software to monitor applications or repositories Licensee does not own or is not authorized to access

5. Third-Party Model Providers

Generated Output is produced by third-party large-language-model providers (currently OpenAI and Anthropic). Use of the Service is subject to those providers' usage policies in addition to this Agreement. nreactive does not control and is not responsible for changes those providers make to their models or policies.

6. AI Output Disclaimer

Generated Output is provided as a suggestion. It is not warranted to be correct, secure, performant, free of license-incompatible content, or fit for any particular purpose. Licensee is solely responsible for reviewing Generated Output before merging. Where Licensee enables auto-merge, Licensee accepts the risk that automatically merged changes may introduce defects or security issues; the existence of a confidence threshold does not shift this responsibility to nreactive.

7. Open-Source Components

Portions of the Software (browser SDK, CLI, framework adapters) are released under the MIT License. Those components are governed by their respective LICENSE files in the public repository and not by this Agreement to the extent of any conflict. The hosted backend and AI pipeline are proprietary and not covered by an open-source license.

8. Termination

This license terminates automatically on cancellation of Licensee's plan, on account termination, or on material breach of this Agreement. On termination, Licensee shall remove the Software from production deployments within 30 days. Sections 3 (Ownership), 4 (Restrictions), 6 (Disclaimer), 9 (Liability), and 11 (Governing Law) survive termination.

9. Warranty Disclaimer and Limitation of Liability

The Software and Generated Output are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy. To the maximum extent permitted by law, nreactive's aggregate liability arising out of or relating to this Agreement is limited to the fees paid by Licensee for the Service in the twelve (12) months preceding the event giving rise to the claim. In no event shall nreactive be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, even if advised of the possibility.

10. Export Compliance

Licensee shall comply with all applicable export-control and sanctions laws. Licensee represents that it is not located in, and will not use the Software from, any country or by any party subject to comprehensive sanctions or on a restricted-party list.

11. Governing Law

This Agreement is governed by the laws of the jurisdiction in which nreactive is established, without regard to conflict-of-law principles. Disputes are subject to the exclusive jurisdiction of the competent courts of that jurisdiction. This Agreement is read together with our Terms of Service; in case of conflict, the Terms of Service control on matters of Service operation and this Agreement controls on matters of Software licensing and Generated Output.

12. Changes to this Agreement

nreactive may modify this Agreement. Material changes will be communicated by email and via a dashboard notice at least 30 days before they take effect. Continued use of the Software after the effective date constitutes acceptance of the revised Agreement.
